sale and assignment of copyright works
in exchange for one dollar ($1,00) and fifty percent (50%) of the net profits of Wacky Whiddles & More(WWM) as set forth in the parties's February 27,2007 agreement entitled "Agreement for Wacky Whiddles & More, LLC. ("February Agreement"), Ken James hereby assigns to WWM all of Ken James right, title, and interest in and to the Copyrighted Works. This assignment includes, but is not limited to, WWM's right to reproduce, public ally display and / or perform, distribute, sell, lease, rent, lend, or otherwise transfer, and to prepare derivative works based upon, the Copyrighted Works.
Ken James agree to execute and deliver, at the request of WWM, all papers, instruments, and assignments, and to perform any other reasonable acts that WWM may require in order to vest all of Ken James' rights, title, and interest in and to the Copyrighted Works to WWM, including filing the recordation of the assignment with the United States Library of Congress's Copyright office.
In the event WWM ceases to sell products under the mark, WWM shall assign the Copyrighted works (including the 313 Reg.) back to Ken James within 10 days after Ken James delivers a written assignment request to WWM.
